Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.



On March 15, 2022, the Board of Directors (the "Board") of Advance Auto Parts,
Inc. (the "Company") appointed Joan M. Hilson to the Board, effective March 15,
2022. The Board has not yet determined on which committee(s) Ms. Hilson will
serve. There is no arrangement or understanding with any person pursuant to
which Ms. Hilson was appointed as a director, and she will receive compensation
for service as a director in accordance with the Company's policy for
compensation of non-employee directors.

In connection with her appointment to the Board, Ms. Hilson is expected to enter
into the Company's standard form of indemnification agreement, a copy of which
is filed as Exhibit 10.1 to the Company's Annual Report on Form 10-K and is
incorporated herein by reference.

On March 16, 2022, the Company issued a press release regarding the appointment
of Ms. Hilson to the Board, a copy of which is attached hereto as Exhibit 99.1
and incorporated herein by reference.
