Aeroporto Guglielmo Marconi di Bolgn : Bologna Airport, the General Shareholders’ Meeting has approved the 2017 financial statements

AEROPORTO GUGLIELMO MARCONI DI BOLOGNA S.p.A.:

•  The General Shareholders' Meeting has approved the 2017 financial statements.

•  Approved the distribution of a gross dividend of Euro 0.392 per ordinary share.

•  Two independent directors have been appointed following resignation and board cooptation.

•  Approved the company's Remuneration Report

Bologna, 24 April 2018 - The General Shareholders' Meeting of Aeroporto Guglielmo Marconi di Bologna, chaired by Enrico Postacchini, approved today the parent company financial statements and examined the Group's consolidated financial statements as at December, 31 2017.

As already released, 2017 consolidated revenues amounted to Euro 99.1 million, increasing by 9,6% compared to 2016, the consolidated EBITDA amounted to Euro 34.2 million (+21,3% vs. 2016) and consolidated Net Profit recorded a growth of approx. 42% compared to 2016, amounting to Euro 16.2 million.

In light of a Net Profit result of Aeroporto Guglielmo Marconi di Bologna S.p.A. amounting to Euro 14.9 million, the General Shareholders' Meeting approved the distribution of a gross dividend of Euro 0.392 per ordinary share, corresponding to a total dividend amount of Euro 14,2 million, with a pay-out of 95%.

The dividend will be payable as of May 9, 2018 with ex-date on May 7, 2018 (coupon no. 3) and record date on May 8, 2018.

The General Shareholders' Meeting also appointed two independent directors. Following the resignation of the independent directors Arturo Albano and Gabriele Del Torchio, the Board of Directors was reinstated with the co-optation of the independent directors Domenico Livio Trombone and Livio Fenati, respectively on October 30, 2017 and January 29, 2018.

The Board of Directors in office until the General Shareholders' Meeting that will approve the financial statements as at December 31, 2018, is composed as follows: Enrico Postacchini, Nazareno Ventola, Sonia Bonfiglioli, Livio Fenati, Giada Grandi, Luca Mantecchini, Laura Pascotto, Giorgio Tabellini and Domenico Livio Trombone.

The General Shareholders' Meeting held today also approved the company's Remuneration Report drawn up pursuant to Article 123-ter of Legislative Decree No. 58 of February 24, 1998, with regards to the remuneration of directors, general managers and managers with strategic responsibilities

Bologna Guglielmo Marconi Airport, classified as a "strategic airport" in the centre-north area of the National Airports Plan prepared by the Ministry of Infrastructure and Transport, is now the eighth biggest Italian airport by passenger numbers, with more than 8.2 million passengers in 2017, of which 76% on international flights (Source: Assaeroporti). Located in the heart of the Emilian food valley and the automotive and packaging industrial districts, the airport has a catchment area of about 11 million inhabitants and around 47,000 companies, with a strong propensity to exports and internationalisation and with commercial expansion policies to Eastern Europe and Asia.

As for airport infrastructure, the airport has among its strategic objectives in the next few years an important development plan that mainly concerns the expansion of the terminal, particularly in the parts of security checks and gate area. The company's aim is to make Bologna Airport one of the most modern and functional in Italy, an important gateway to the city and region.
