AEROPORTO GUGLIELMO MARCONI DI BOLOGNA S.p.A.:

The General Shareholders' Meeting has approved the 2018 financial statements.

Approved the distribution of a gross dividend of Euro 0.449 per ordinary share (+14.5% compared to the previous year).

Appointed the members of the Board of Directors and of the Board of Statutory Auditors for the next three years.

Approved the Group's Remuneration Policy.

Bologna, 29 April 2019 - The General Shareholders' Meeting of Aeroporto Guglielmo Marconi di Bologna, chaired by Enrico Postacchini, approved today the financial statements of the Company and examined the Group's consolidated financial statements as at December, 31 2018 and the consolidated non-financial statement mandatory under Article 4 of Legislative Decree no. 254/2016.

As already released, 2018 consolidated revenues amounted to Euro 114.1 million, increasing by 15,1% compared to 2017, the consolidated EBITDA amounted to Euro 38.7 million (+13,1% vs. 2017) and consolidated Net Profit amounted to Euro 17,9 million, recording a growth of 10,8% compared to the previous year.

In light of a Net Profit result of Aeroporto Guglielmo Marconi di Bologna S.p.A. amounting to Euro 14.9 million, the General Shareholders' Meeting approved the distribution of a gross dividend of Euro 0.449 per ordinary share, up approximately 14.5% compared to the previous year and equal to a payout ratio of 95 %.

The dividend will be payable as of May 8, 2019 with ex-date on May 6, 2019 (coupon no. 4) and record date on May 7, 2019.

The General Shareholders' Meeting has appointed:

The 9 members of the Board of Directors, through the slate voting mechanism, who will remain in office until approval of the financial results as at December 31, 2021: Enrico Postacchini, Nazareno Ventola, Silvia Giannini, Eugenio Sidoli, Valerio Veronesi and Giada Grandi (from the List of candidates n.1 for the appointment of the Board of Directors), Marco Troncone, Gennarino Tozzi and Laura Pascotto (from the List of candidates n.2), also defining the related remuneration.

Among appointed Directors, Silvia Giannini, Eugenio Sidoli, Gennarino Tozzi and Laura Pascotto declared to have the independence requirements according to the provisions of Codice di autodisciplina and Testo Unico della Finanza, while Marco Troncone declared to have the independence requirements according to the provisions of Testo Unico della Finanza.

The Board of Directors, in the first meeting, will verify these independence requirements as well as general criteria in accordance with the law, will attribute responsibilities and appoint members of the company Committees.

The members of the Board of Statutory Auditors, who will remain in office until approval of the financial results as at December 31, 2021: Pietro Voci (Chairman), Samantha Gardin and Alessandro Bonura, as Statutory Auditors, and Violetta Frasnedi and Alessia Bastiani as Alternative Auditors.

The Board of Statutory Auditors, in the first meeting, will verify the independence requirements as well as general criteria in accordance with the law.

The General Shareholders' Meeting held today also approved the company's Remuneration Report drawn up pursuant to Article 123-ter of Legislative Decree No. 58 of February 24, 1998, with regards to the remuneration of directors, general managers and managers with strategic responsibilities

Bologna Guglielmo Marconi Airport, classified as a "strategic airport" in the centre-north area of the National Airports Plan prepared by the Ministry of Infrastructure and Transport, is now the eighth biggest Italian airport by passenger numbers, with more than 8.5 million passengers in 2018, of which 77% on international flights (Source: Assaeroporti). As for airport infrastructure, the airport has among its strategic objectives in the next few years an important development plan that mainly concerns the expansion of the terminal, particularly in the parts of security checks and gate area. The company's aim is to make Bologna Airport one of the most modern and functional in Italy, an important gateway to the city and region.
