On December 30, 1998, the Company acquired ChemWay Systems, Inc. (ChemWay). ChemWay is in the business of producing and distributing aftermarket automotive fluids, including automotive care and performance products, refrigerants, lubricants and solvents. As of February 27, 2001, ChemWay did not have any assets. The Company has entered into negotiations to purchase a 25% interest held by Triasis Energy Partners, LLC in Triumph Energy Partners of Texas, LLP
