NOMINATION OF SUPERVISOR

The board of supervisors (the "Board of Supervisors") of Agricultural Bank of China Limited (the "Bank") issued a written notice of the second meeting (the "Meeting") on 17 March 2022 and held the Meeting onsite in Beijing on 30 March 2022. Eight supervisors were entitled to attend and all of them attended the Meeting. The Meeting was conducted in compliance with the applicable laws and regulations, the articles of association of the Bank and the rules of procedure of the Board of Supervisors.

The following proposal was considered and approved at the Meeting:

Nomination of Ms. DENG Lijuan as a Supervisor Candidate of the Bank

It was resolved at the Meeting to nominate Ms. DENG Lijuan as a candidate for supervisor of the Bank, subject to the approval of her appointment by a shareholders' general meeting of the Bank. The term of office for Ms. DENG Lijuan will be three years, commencing upon the date of approval by the shareholders' general meeting of the Bank.

The profile of Ms. DENG Lijuan is set out below:

Ms. DENG Lijuan, born in October 1975, holds a master's degree in economics from Jilin University and is a senior economist. Ms. DENG previously served in several positions in the Human Resources Department of the Bank, including the deputy director of the Headquarter Staff Management Division, the deputy director and director of the Senior Management Training Division and the director of the Affiliated Institutions Staff Management Division. She was appointed as the vice general manager of the Human Resources Department of the Bank in August 2016 and the person-in-charge of the Office of the Board of Supervisors of the Bank in January 2022. She has served as the director of the Office of the Board of Supervisors of the Bank since March 2022.

Ms. DENG Lijuan will not receive any supervisor's fee from the Bank during her term, while her remuneration shall follow the relevant regulations and the relevant remuneration plan will be submitted to the shareholders' general meeting for consideration and approval after being approved in accordance with the relevant procedures. The remuneration of the supervisors to be paid by the Bank will be disclosed in the annual report each year and the relevant announcements.

Save as disclosed in this announcement, Ms. DENG Lijuan did not hold any directorship in any other listed companies or take up any post in any affiliated companies of the Bank in the past three years, nor have any relationship with any other director, supervisor, senior management, substantial shareholder or controlling shareholder of the Bank. Furthermore, Ms. DENG Lijuan does not have any equity interest in the Bank within the meaning of Part XV of the Securities and Futures Ordinance of Hong Kong. Save as disclosed herein, there is no other information relating to the election of Ms. DENG Lijuan as a supervisor that shall be disclosed pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited nor any matters which need to be brought to the attention of the shareholders of the Bank.
