(1) RELATIONSHIP BETWEEN THE PARENT COMPANY AND THE LISTED COMPANY

SBI Holdings, Inc. (hereafter "SBI") holds 31.12% of all voting rights as the largest major shareholder and other affiliated company. ALBERT Inc. (hereafter "ALBERT") agreed capital and business alliance with SBI on June 9, 2021 and SBI has become an affiliated company. And Masato Takamura, Representative Director, Senior Executive Vice President & COO of SBI was appointed as the outside director of ALBERT at the extraordinary general meeting of shareholders on August 27, 2021.

3. MATTERS CONCERNING TRANSACTION WITH CONTROLLING SHAREHOLDERS

Although there are no material transactions with SBI, ALBERT conducts transactions related data analysis etc. with SBI SECURITIES Co., LTD., group company of SBI based on the alliance.
