E2i energie speciali S.r.l. and Edison Partecipazioni Energie Rinnovabili made an offer to acquire Alerion Clean Power SpA (BIT:ARN) for approximately €110 million on October 12, 2016. E2i energie and Edison Partecipazioni will pay €2.46 per share of Alerion Clean. The Board of Directors of Edison S.p.A., shareholder of Edison Partecipa approved the offer. The deal is approved by Consob. On completion, Alerion Clean will be delisted from the Italian Stock Exchange. The acceptance period of the offer will begin on October 31, 2016 and will end on December 2, 2016. The cash consideration will be paid to shareholders tendering in the offer on December 9, 2016.

In a rival transaction, FGPA Srl made an offer to acquire 29.9% stake in Alerion Clean Power SpA (BIT:ARN) for €33.6 million on October 28, 2016 and under the terms of revised offer, FGPA Srl will acquire 29.9% stake and and pay €2.6 per share in cash.

As of November 18, 2016, Eolo Energia S.r.l acquired 4.69% stake representing 2.04 million shares of Alerion Clean Power SpA (BIT:ARN). As of December 2, 2016, Eolo Energia S.r.l acquired 38.9% stake of Alerion Clean Power SpA (BIT:ARN). As per Regulation Consob has imposed on Edison and F2i to launch a new takeover bid before Christmas on the shares that have not been brought to the tender offer that just ended. As on December 7, 2016, the buyers have acquired 38.87% stake in Alerion and will launch a mandatory totalitarian takeover bid for 61.13% stake at €2.46 per share. The offer period will begin on December 23, 2016 and will close on January 16, 2017.
