Item 8.01 Other Events.

On October 13, 2021, the Board of Directors of Alliance Data Systems Corporation ("Alliance Data" or the "Company") approved the previously announced separation (the "Separation") of its LoyaltyOne segment, consisting of its Canadian AIR MILES® Reward Program and Netherlands-based BrandLoyalty businesses, into an independent, publicly traded company, Loyalty Ventures Inc. ("Loyalty Ventures"). The Separation will be completed through the pro rata distribution of 81% of the outstanding shares of Loyalty Ventures to holders of the Company's common stock at the close of business on the record date of October 27, 2021, with Alliance Data retaining the remaining 19% of the outstanding shares of Loyalty Ventures. Alliance Data stockholders of record at the close of business on October 27, 2021 will receive one share of Loyalty Ventures common stock for every two and one-half (2.5) shares of Alliance Data common stock. The distribution is expected to be completed after the New York Stock Exchange market closes on November 5, 2021.

The completion of the distribution is subject to a number of customary conditions, including the Securities and Exchange Commission having declared effective Loyalty Venture's Registration Statement on Form 10, as amended.
