Reason for requesting extension to submit Quarterly Report

ALLIANCE GLOBAL GROUP, INC. will not be able to file its Quarterly Report under SEC Form 17-Q on the statutory deadline (November 15, 2021) because the consolidation of its financial statements and notes is still in progress and the relevant information to account for the material changes thereto cannot be finalized on the said deadline date. The reimposition of hard lockdowns in Metro Manila in August to mid-October 2021, followed by the Alert Level 3 up to November 4, 2021, affected the preparation of the said report. This cannot be completed or eliminated without unreasonable effort or expense on the part of the Company. The Company will file the subject report within the allowed extension period (on or before November 19, 2021).

The Company undertakes to submit the report within five (5) calendar days after the prescribed deadline or upon submission of the report to the Securities and Exchange Commission, whichever is earlier. The Company understands that failure to comply with the undertaking may result to the imposition of applicable penalty/ies and/or sanction/s.
