17 June 2021 - The Annual General Shareholders' Meeting of ALROSA elected a new Supervisory Board. The number of independent directors grew from three to five as compared to the previous year. Independent directors will thus make a third of the Supervisory Board in the 2021/2022 corporate year.

The meeting held in absentia on 16 June 2021 elected 15 members of the Supervisory Board of PJSC ALROSA:

  • Maria Gordon (independent director), a member of the Supervisory Board of PJSC Moscow Exchange and a member of the Board of Directors of PJSC Polyus; Chair of the Board of Directors of PJSC Detsky Mir;
  • Evgenia Grigorieva (independent director), a member of the Supervisory Board of JSB Almazergienbank and a member of the Board of Directors of JSC Komdragmetall Republic of Sakha (Yakutia);
  • Igor Danilenko (independent director), Managing Director of Fosun Eurasia Capital Limited;
  • Kirill Dmitriev, Chief Executive Officer of JSC Russian Direct Investment Fund Managing Company;
  • Andrey Donets, Advisor to Director General of JSC RosGeo;
  • Vasily Efimov, Chief Executive Officer of JSC Venture Company Yakutia;
  • Sergey Ivanov, Chief Executive Officer - Chairman of the Executive Committee of PJSC ALROSA;
  • Dmitry Konov (independent director), Chairman of the Management Board of PJSC SIBUR Holding;
  • Sergey Mestnikov, Deputy Chairman of the Government of the Republic of Sakha (Yakutia);
  • Alexey Moiseev, Deputy Minister of Finance of the Russian Federation;
  • Alexey Noskov (independent director), Managing Director of JSC Polyus Aldan;
  • Aysen Nikolaev, Head of the Republic of Sakha (Yakutia);
  • Vladimir Rashevsky, Chief Executive Officer and Chairman of the Management Board of EuroChem Group AG; General Director of MCC EuroChem JSC;
  • Anton Siluanov, Minister of Finance of the Russian Federation;
  • Alexander Cherepanov, Deputy Head for Investment and Economic Policy of the Lensky District, Republic of (Sakha) Yakutia.

As compared to the previous composition of the Supervisory Board, the new members are Igor Danilenko, Vasily Efimov, and Alexander Cherepanov.

In accordance with corporate governance best practices and recommendations of the Russian Code of Corporate Governance, the company shareholders are consistent in increasing the number of independent directors on the Supervisory Board. The number of independent board members nominated by the Republic of Sakha (Yakutia) grew from one to two.

The next meeting of the Supervisory Board will appoint its chair and members of committees.

The shareholders also approved the Annual Report and annual accounting (financial) statements of PJSC ALROSA for 2020, distribution of net profit for 2020 and retained earnings from previous years and dividend payout, resolved to pay remuneration to the members of the Supervisory Board and the Auditing Committee, who are not government officials, and elected the Auditing Committee.

The annual general meeting approved amendments to some internal regulations, including the Regulations on Remuneration to Members of the Supervisory Board of PJSC ALROSA, in line with the recommendations of the ALROSA Corporate Governance Code on remuneration to members of the Supervisory Board. The said amendments de-link the remuneration from annual revenue and establish a flat amount of its basic component.

PricewaterhouseCoopers Audit was approved as an auditor of ALROSA's RAS and IFRS financial statements for 2021.

Biographical background of the new Supervisory Board members

Igor DANILENKO

Igor was born on 22 August 1982.

He graduated from Moscow State University in 2003 with a degree in Economics.

In 2005, he graduated from Stockholm School of Economics, International Business, specialising in Finance, and holds a MCs degree in International Economics and Business.

Work experience in recent years:

2011-2015 - Head of Equities, Senior Portfolio Manager at TKB BNP Paribas Investment Partners;

2015 to date - Managing Director at Fosun Eurasia Capital Limited;

2019 to date - Chief Executive Officer of Mayskiy List LLC.

Vasily EFIMOV

Vasily was born on 19 May 1985 in Yakutsk, Republic of Sakha (Yakutia).

He graduated from University College Dublin in 2006.

Additional education:

In 2016, he gained membership of the Association of Chartered Certified Accountants, UK.

In 2016, he studied Pricing and Budgeting at the Institute of Continuing Education of the State Academy of Investment Experts, National Research University Higher School of Economics.

In 2019, he completed Regional Entrepreneurship Acceleration Programme at the Massachusetts Institute of Technology, Boston, USA.

In 2019, he studied the Art of Management at the Graduate School of Public Management, RANEPA.

Work experience in recent years:

2007-2008 - Audit Consultant, Senior Audit Consultant at CJSC PricewaterhouseCoopers;

2008-2010 - Chief Specialist of the IFRS Statements Sector, Accounting Department, JSC AK Yakutskenergo;

2010-2012 - Head of Finance and Analytics Department at CJSC Taatta Bank;

2012-2013 - Head IFRS Specialist at OJSC Yakut Fuel and Energy Company;

2013-2017 - individual entrepreneur, advisor on the international standards of financial reporting;

2016- 2017 - Director General of LLC Research and Production Company SakhaAcademResource;

2017-2019 - Deputy CEO of JSC Venture Company Yakutia;

2018 to date - Director of Non-Profit Organisation The Innovation Development Fund of the Republic of Sakha (Yakutia);

2019 to date - Chief Executive Officer of JSC Venture Company Yakutia.

Alexander CHEREPANOV

Alexander was born on 17 July 1983 in city of Lensk, Republic of Sakha (Yakutia).

In 2006, he graduated from Novosibirsk State University of Architecture and Civil Engineering (Sibstrin) with a degree in Economics and Company Management (in construction) and qualified as Managing Economist.

Work experience in recent years:

2014-2018 - Deputy Head for Budgetary Policy of the Finance Department of the Lensky District, Republic of (Sakha) Yakutia;

2018 to date - Deputy Head for Investment and Economic Policy of the Lensky District, Republic of Sakha (Yakutia).
