ALSEA REPORTS THAT IT WAS THE WINNER OF THE ASSETS' PURCHASE PROCESS OF ARCHIE'S COLOMBIA S.A.S.


Mexico City, February 18, 2015. Alsea, SAB de C.V. (BMV: ALSEA *) the leading operator of Quick Service Restaurants, Coffee Shops, Casual and Family Dining establishments in Latin America and Spain, reports that the Colombian Superintendency of Corporations announced that Alsea won the disposal of assets of the Italian food restaurant chain ARCHIE'S (Archie's Colombia S.A.S.).


ARCHIE'S is a 100% Colombian concept which has grown and developed its format to fit the domestic market; The business was established in 1993, and it is the largest Italian food restaurant chain in Colombia and one of the major chains in the country. As of today, the company operates 41 restaurants in 7 major cities in Colombia, with presence in the main shopping centers of the country.


The transaction which Alsea expects to close in the following weeks, amounts 51,250 million Colombian pesos (approximately USD15.2 million) and it comprises: (i) 41 restaurants in operation; (ii) the acquisition of a Commissariat dedicated to the standardization of products, bulk purchases and production of pastas, desserts and gelatos; (iii) the intellectual property rights of trademarks, menus, product development, operations and other processes.

Citigroup acted as financial advisor and Garrigues as external legal advisor for Alsea.
