NOTICE TO THE MARKET

Ambipar Participações e Empreendimentos S.A. ("Ambipar Group" or "Company") (B3: AMBP3) announces the acquisition of 100% of the company Lehane Environmental & Industrial Services Ltd ("Lehane Environmental"), through its wholly owned subsidiary indirect Ambipar Holdings UK Limited. ("Ambipar Holding UK")

Founded in 1976, Lehane Environmental has 45 years of know-how accumulated in environmental emergency care and industrial services. It has 2 operational bases in Ireland, in Cork and Dublin.

In line with the expansion plan, the Company's which now has 11 bases strategically located in the region and present in 6 countries.

Lehane Environmental, at this moment, becomes Ambipar Response, which now has the strategic management and structure of the Ambipar Group to drive its growth in the European market.

For Ambipar Group, this acquisition: (i) geographically expands the Company's presence in Europe; (ii) expands service capillarity, response time; (iii) generates operational and administrative synergies and cross selling opportunities; in line with its strategic growth plan, capturing synergies and potentially maximizing margins and returns.

The Company clarifies that this acquisition will not be submitted to the approval of its shareholders, nor will it give rise to the right of withdrawal, considering that: (i) it was carried out through its privately held subsidiary; and (ii) the price paid for the acquisition does not exceed one and a half times the highest of the three amounts provided for in article 256, II of Law 6,404/76.
