COMUNICADO AO MERCADO

Americanas S.A. ("Americanas" ou "Companhia"), em continuidade ao Comunicado ao Mercado de 12 de janeiro de 2023, que informou sobre a eleição dos membros do Comitê Independente criado pelo Conselho de Administração da Companhia para apurar as circunstâncias que ocasionaram as inconsistências em lançamentos contábeis objeto do Fato Relevante de 11 de janeiro de 2023, informa que o Conselho de Administração aprovou, nesta data, a eleição do Sr. Eduardo Flores, cuja qualificação está descrita abaixo, em substituição ao Sr. Pedro Mello.

• Eduardo Flores (Membro externo do Comitê Independente) - Professor Doutor do Departamento de Contabilidade e Atuária da FEA/USP. Consultor e Parecerista desde 2012 com experiência em Contabilidade e Finanças. Professor da Fundação Escola de Comércio Álvares Penteado de 2010 a 2013. Membro do Advisory Council of IFRS Foundation desde 2021. Membro do Comitê de Pronunciamentos Contábeis representando a CNI desde 2016. Coordenador Técnico do Comitê Brasileiro de Pronunciamentos de Sustentabilidade. Membro do Integrated Reporting Connectivity Council of IFRS Foundation desde 2022. Presidente do Conselho Fiscal da Via Varejo S.A. de abril de 2018 a abril de 2019. Presidente do Conselho Fiscal da Fundação USP até junho de 2022. Membro do Conselho Fiscal do GPA de abril de 2017 a abril de 2018. Membro do Conselho Fiscal do Assaí entre 2021 e 2022. Pós-doutor em Contabilidade pela FEA-USP - 2018 e em Administração pela EAESP - FGV - 2019. Doutor em Contabilidade pela FEA-USP - 2016 e Mestre em Contabilidade pela FECAP - 2012. Graduado em Ciências Atuariais pela FEA-USP 2018 e em Contabilidade pela FECAP - 2009.

A Companhia manterá seus acionistas e o mercado em geral atualizados acerca de andamentos ou notícias em relação à apuração dos fatos pelo Comitê Independente.

NOTICE TO THE MARKET

Americanas S.A. ("Americanas" or "Company"), in continuity to the Notice to the Market of January 12, 2023, regarding the election of the members of the Independent Committee installed by the Company's Board of Directors to investigate the circumstances that caused the inconsistencies in accounting entries subject of the Material Fact of January 11, 2023, informs that the Board of Directors approved, on this date, the election of Mr. Eduardo Flores, whose resume is described below, to replace Mr. Pedro Mello.

• Eduardo Flores (Independent External Member of the Independent Committee) - PhD Professor of the Department of Accounting and Actuarial Science at FEA/USP. Consultant and Expert Advisor since 2012 with experience in Accounting and Finance. Professor at Fundação Escola de Comércio Álvares Penteado from 2010 to 2013. Member of the Advisory Council of IFRS Foundation since 2021. Member of the Accounting Pronouncements Committee as CNI's representative since 2016. Technical Coordinator of the Brazilian Sustainability Pronouncements Committee. Member of the Integrated Reporting Connectivity Council of IFRS Foundation since 2022. Chairman of the Fiscal Council of Via Varejo S.A. from April 2018 to April 2019. Chairman of the Fiscal Council of Fundação USP until June 2022. Member of the Fiscal Council of GPA from April 2017 to April 2018. Member of the Fiscal Council of Assaí from 2021 to 2022. Post- doctorate in Accounting from FEA-USP - 2018 and in Administration from EAESP - FGV - 2019. PhD in Accounting from FEA-USP - 2016 and Master in Accounting from FECAP -
  2012. Bachelor's degree in Actuarial Science from FEA-USP 2018 and in Accounting from FECAP - 2009.

The Company will keep its shareholders and the market in general updated on the progress or on the news in relation to the investigation of the facts by the Independent Committee.
