Material Fact: Potential combination of shareholder bases

MATERIAL FACT

As disclosed in the Material Fact of April 28, 2021, Lojas Americanas S.A. ("Lojas Americanas") and Americanas S.A. ("Americanas" and, when together with Lojas Americanas, the "Companies") proceeded, once approved in the general meetings held on June 10, 2021, to an operational combination of business, with a view to maximize the client's experience in a new journey of creation of value. Still in this context, it was disclosed that Lojas Americanas was studying a corporate reorganization with the final objective of migrating its shareholder base to a new company, headquartered abroad, whose shares would be listed on the NYSE or NASDAQ ("International Listing"), a reorganization still under analysis.

In the context of these studies, considering the successful business operational combination, there was identified an opportunity of a possible corporate reorganization prior to the International Listing, combining, in Brazil, the respective shareholder bases of the Companies in the Novo Mercado, the listing segment with the highest governance level of B3 S.A. - Brasil, Bolsa, Balcão.

This analysis is currently underway at an operational level, and its result, as to the convenience and legal feasibility, shall be submitted to the management of the Companies, for a decision that will, as the case may be, be brought timely to resolution by the shareholders, there being no decision yet in this regard, either as to the reorganization itself or as to the legal structure it could take.

The Companies will keep the shareholders informed about any developments and advances made.
