The Board of Directors (the "Board") of ANSYS, Inc. (the "Company") adopted an
amended and restated Code of Business Conduct and Ethics (the "Code"), which
became effective on March 1, 2023. The Code applies to all team members of the
Company, including the principal executive officer, principal financial officer,
and principal accounting officer, and to all directors, officers, and employees
of the Company's subsidiaries and controlled affiliates.

A copy of the Code is attached hereto as Exhibit 14.1 and is incorporated herein
by reference. In addition, a copy of the Code is posted under the Governance tab
of the Investor Relations section of our website at https://investors.ansys.com.
