ANTARES VISION S.P.A.: RESIGNATION OF AN INDEPENDENT BOARD DIRECTOR

Travagliato (BS), 15 December 2022 - We hereby announce that on 14 December 2022, Marco Claudio Vitale, Independent Board Director and Chairman of the Control, Risks and Sustainability Committee of Antares Vision S.p.A. (Antares Vision or the Company), resigned from office with immediate effect for personal reasons.

As at today's date, Mr. Vitale does not directly or indirectly hold any Company shares. Furthermore, no indemnity or other benefits are due to Mr. Vitale following his resignation.

A Board of Directors' meeting will be called to pass the necessary resolutions regarding said resignation, as required by law and the articles of association, as well as announcing the same to the market. In particular, the Board of Directors will replace Mr. Vitale by appointing a new independent Board Director, which will be carried out through co-option pursuant to art. 13.16 of the Company's articles of association, in accordance with current regulations. The co-opted director will remain in office until the next shareholders' meeting, which will then proceed with the relative confirmation or replacement in accordance with standard procedures and majorities, rather than adopting the list voting mechanism.
