MAJOR TRANSACTION

DELAY IN DESPATCH OF THE CIRCULAR IN RELATION TO THE PROPOSED ACQUISITION OF THE TARGET INTEREST IN EASY LIFE SMART COMMUNITY SERVICES GROUP CO., LTD*

Reference is made to the announcements of the Company dated 22 April 2020, 14 May 2020

and 5 June 2020 (the "Announcements") in relation to the proposed acquisition of the Target Interest in Easy Life Smart Community Services Group Co., Ltd* (樂生活智慧社區服務集團

股份有限公司) (the "Proposed Acquisition"). Unless otherwise stated, capitalized terms used in this announcement shall have the same meanings as those defined in the Announcements.

As set out in the Announcements, a circular in relation to the Proposed Acquisition (the

• Circular"), containing among other things, details of the Proposed Acquisition and other information as required under the Listing Rules, is expected to be despatched to the Shareholders on or before 31 July 2020.

As disclosed in the announcement of the Company dated 14 May 2020, the Stock Exchange has granted the waiver to the Company on condition that the Company will despatch the Circular on or before 31 July 2020. The Stock Exchange may change the waiver if the Company's situation changes.

As additional time is required for the Company to prepare and finalise the financial information to be included in the Circular, the Company has applied to the Stock Exchange for a further waiver from strict compliance with the requirements of Rule 14.41(a) of the Listing Rules. Further announcement will be made by the Company in respect of the application of the waiver and the expected date of despatch of the Circular.
