Item 5.02          Departure of Directors or Certain Officers; Election of Directors;
                   Appointment of Certain Officers; Compensatory Arrangements of Certain
                   Officers.

On December 23, 2021, DeWitt Kerry McCluggage, resigned from the Board of Directors (the "Board") of ARC Document Solutions, Inc. (the "Company"), and in connection therewith, from the Audit, Compensation and Nominating and Corporate Governance Committees of the Board, on which he also served. Mr. McCluggage's resignation was not the result of a disagreement with the Company on any matter relating to the Company's operations, policies or practices.

In connection with Mr. McCluggage's resignation, on December 23, 2021, Bradford L. Brooks, currently a member of the Board, was appointed as Lead Independent Director, a role held by Mr. McCluggage when he resigned from the Board.
