Cleansing Notice under section 708A of the Corporations Act 2001 (Cth)

Webcentral Group Limited ACN 073 716 793 (ASX: WCG) (Companyor WCG) gives this notice under section 708A(5)(e) of the Corporations Act 2001(Cth) (Act).

The Company has issued 14,705,882 fully paid ordinary shares (New Shares) on 21 December 2020 at an issue price of $0.17 cents per New Share. These New Shares were issued to sophisticated investors under a placement as approved by shareholders at the Company's extraordinary general meeting held on 18 December 2020 (Placement).

The Company advises that:

1. the New Shares issued pursuant to the Placement were issued without disclosure under Part 6D.2 of the Act;
2. this notice is given under section 708A(5)(e) of the Act;
3. as at the date of this notice, the Company has complied with:
4. 1. the provisions of Chapter 2M as they apply to the Company; and
   2. section 674 of the Act;
5. as at the date of this notice, there is no information that is "excluded information" within the meanings of sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
