ISSUE OF 142,664,000 NEW UNITS ("NEW UNITS") IN ASCENDAS REAL ESTATE

INVESTMENT TRUST ("ASCENDAS REIT") PURSUANT TO THE PRIVATE PLACEMENT

Capitalised terms used herein, unless otherwise defined, shall have the meanings ascribed to them in the announcement of Ascendas Reit dated 4 May 2021 in relation to the launch of the private placement.

  1. Introduction
    Further to its announcements dated 4 May 2021, 5 May 2021 and 6 May 2021, Ascendas Funds Management (S) Limited, in its capacity as manager of Ascendas Reit (the "Manager"), is pleased to announce that the Manager has issued 142,664,000 New Units at an issue price of S$2.944 per New Unit pursuant to the Private Placement. With the issue of the New Units, the total number of Units in issue is 4,163,506,385 Units as at the date of this announcement.
    The New Units will commence trading on the Main Board of Singapore Exchange Securities
    Trading Limited (the "SGX-ST") at 9.00 a.m. on 14 May 2021.
  2. Status of the Private Placement New Units
    The New Units will, upon issue, rank pari passu in all respects with the existing Units in issue on 14 May 2021, including the right to Ascendas Reit's distributable income from the day of issuance of the New Units under the Private Placement as well as all distributions thereafter, other than in respect of the Advanced Distribution for the period from 1 January 2021 to 13 May 2021 (being the day immediately prior to the date on which the New Units are issued pursuant to the Private Placement).
