CHANGE IN SHARE CAPITAL AND NUMBER OF SHARES ISSUED PURSUANT TO ART. 85-BIS OF CONSOB REGULATION NO. 11971/99 AND ART. 2.6.2, SUBSECTION 1, letter a), OF THE MARKET RULES ORGANISED AND MANAGED BY BORSA ITALIANA S.P.A.

Rome, 22 December 2020 - Astaldi S.p.A. ("Astaldi" or the "Company") announces the new structure of the share capital, fully subscribed and paid-in, following the request of exercising 4,222,094 2020-2023 Astaldi Warrants made by Banco BPM on 26 November 2020; as a result 4,222,094 2020-2023 Astaldi Warrants have been consequently cancelled and 4,222,094 Astaldi Ordinary Shares have been assigned to Banco BPM.
