Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.



On February 11, 2021, Atkore International Group Inc. (the "Company") filed with
the state of Delaware Secretary of State the Certificate of Amendment of the
Company's Third Amended and Restated Certificate of Incorporation (the
"Certificate of Amendment") to change its corporate name to "Atkore Inc."
effective February 16, 2021. The Company's common stock will commence trading
under the name Atkore Inc. on February 16, 2021.

The Certificate of Amendment of the Company's Third Amended and Restated
Certificate of Incorporation is filed as Exhibit 3.1 hereto. To reflect the
assumption of the new corporate name, the Company will effect conforming changes
to its Bylaws. Besides the name change, there were no other changes to the
Company's Articles or Bylaws. The Company's common stock will continue to trade
on the NYSE under its current ticker symbol, "ATKR," and the CUSIP number
assigned to the Company's common stock remains the same.
