Audioboom Group plc (AIM:BOOM) agreed to acquire Triton Digital Canada Inc. from Vector Capital for approximately £130 million on February 13, 2018. Transaction consideration is subject to adjustment for normalized working capital. Audioboom Group plc will finance the acquisition from proposed placing of new ordinary shares of £155 million. As of April 27, 2018, Audioboom announced the subscription of convertible loan notes in the amount of £1 million the proceeds of which will be used the fund the transaction. Post-acquisition, Triton Digital Canada will change its name to Triton Digital Group plc. Neal Schore, President & Chief Executive Officer, and Mark Rosenbaum, Executive Vice President & Chief Financial Officer of Triton will join Audioboom Board as President and Chief Executive Officer and Executive Vice President and Chief Financial Officer. Acquisition terms proposed that Robert Proctor, Chief Executive Officer of Audioboom will remain as an Executive Director of Audioboom. In addition many Non-Executive Directors, who have significant experience in the media and digital audio industries, will also join the Audioboom board. Acquisition is subject to shareholder approval, the entering into and completion of a share purchase agreement and raising the funds necessary for acquisition. Stephen Keys, Mark Connelly, Callum Davidson and Nick Searle of Cenkos Securities plc and Nicholas How, Ben Robertson, Richard Short and John Goold of Zeus Capital Ltd acted as joint brokers and David Hart, Alex Brearley and Asha Chotai of Allenby Capital Limited acted as nominated advisors and joint brokers of Audioboom.
