Automatic Data Processing Inc. on Wednesday said it has designated President Maria Black to succeed Carlos Rodriguez as chief executive, effective Jan. 1.

The Roseland, N.J., payroll processor said Mr. Rodriguez, who has been CEO since November 2011, would become executive chairman on that date.

Ms. Black, 48 years old, joined ADP in 1996 and assumed the post of president from Mr. Rodriguez in January.

ADP said Ms. Black, who would join the board, would receive an annual base salary of $1.1 million and an annual bonus with a target of 200% of her base pay.

The company said John Jones, currently non-executive chairman, would become independent lead director.
