As reported, the aggregate cash consideration of $11.7 million is subject to customary purchase price adjustments, out of which $10.4 million was paid in cash at closing and a total of $1.3 million of total consideration is to be held by Aveanna to settle indemnity claims and working capital adjustments. The holdback payments, net of any indemnity claims and working capital adjustments, will be paid to the sellers over a three to eighteen-month period after closing.
