B&S received request for adjournment of the November 17, 2022 Extraordinary General Meeting of Shareholders

Mensdorf, Luxembourg - November 8, 2022 (21:00 CET)

B&S Group S.A. ("B&S" or the "Company"), tech company in the consumer goods industry, today announces that a group of shareholders, holding in aggregate shares representing at least one- tenth of the share capital of the capital, have requested the adjournment of the November 17, 2022 Extraordinary General Meeting of Shareholders.

In connection with the Extraordinary General Meeting of Shareholders of the Company scheduled to be held on November 17, 2022 (the "EGM"), B&S received a request pursuant to article 450-1(6) of the Luxembourg law of 10 August 1915 on commercial companies, as amended, from shareholders which together hold at least 10% of the issued and outstanding share capital of B&S, to adjourn the EGM. The shareholders did not provide a reason for their request to adjourn the EGM. Under Luxembourg law, the Executive Board of B&S is obliged to so adjourn the EGM, by four weeks, upon a request from shareholders holding at least 10% of the Company's issued and outstanding share capital. Therefore, the Executive Board took note that, further to such request, it will therefore adjourn the EGM, while in session, to December 15, 2022 at 13:30 CET.
