Clarification on news article
(Ref.: Official Letter 310/2020/CVM/SEP/GEA-1)
B3 S.A. - Brasil, Bolsa, Balcão ("Company" or "B3") makes reference to Official Letter 310/2020/CVM/SEP/GEA-1, transcription attached, which requests clarifications on a news article published in Agência Estado, section "Notícias", titled "CVM accepts an agreement in the amount of R$ 7 million to finalize proceedings involving B3".
Regarding the news, B3 confirms signing a deed of undertaking, alongside two of its executives, and provides the following clarifications:
the deed of undertaking was signed given CVM's Market and Intermediaries Superintendence's understanding that B3 would have failed, during the period starting May 2013 up until January 2019, to comply with regulatory requirements related to monitoring limits of derivative positions held by groups of investors acting together as one
and the non-application of the appropriate measures;
As soon as B3 was aware of the authority's view on the matter, B3 promptly offered an action plan to remedy any possible irregularities, a plan that was accepted by the Market and Intermediaries Superintendence and is currently in effect;
the referenced proceeding is not an administrative sanctioning proceeding, given that B3 preempted an action plan and requested an agreement before any possible administrative sanctioning proceeding was established;
IV.
the execution of the deed of undertaking does not imply assumption of
guilt or judgment of conduct.
In view of the clarifications aforementioned, B3 understands that this piece of information is not material or relevant.
