FILING OF THE UPDATED ARTICLES OF ASSOCIATION

Genoa, 14 December 2020 - As a result of its recent Optional Conversion and Reverse Stock Split transactions, Banca Carige S.p.A. - Cassa di Risparmio di Genova e Imperia (hereinafter "Carige" or the "Bank"), informs that Carige's share capital has remained unchanged in the amount of EUR 1,915,163,696.00, divided into 755,371,204 ordinary shares and 20 savings shares. Reported below is the composition of Carige's post-split share capital, with evidence of the previous share capital structure.

The Articles of Associations, updated to reflect the outcome of the Optional Conversion and the Reverse Stock Split transactions, were filed today with the Genoa Companies Register and published in the Governance section on the Bank's website www.gruppocarige.itand on the authorised portal eMarket Storage www.emarketstorage.com.

Banca Carige additionally informs that, by notice No. 32677 of 11 December 2020, Borsa Italiana has resolved to integrate, as of today's trading session and until further notice, the reasons for the suspension of Carige's savings shares (pre-split ISIN: IT0005108771 and post- split ISIN: IT0005428203) from trading on the Electronic Stock Market ("MTA"), as reported at https://www.borsaitaliana.it/borsa/notizie/avvisidiborsa/32677/detail.html?lang=en (in Italian).
