DIRECTOR RESIGNATION

Rome, 3 December 2015 - Banca Finnat Euramerica S.p.A. today announced that Marco Tofanelli has resigned as a non-executive Director of Banca Finnat Euramerica, due to a new and other engagement that is incompatible with his current position, under the applicable interlocking regulations.

Mr. Tofanelli had been drawn from the relative majority list, was an independent, pursuant to the Consolidation Act on Finance and the 'Self-discipline Code' of Borsa Italiana and occupied the positions of Lead Independent Director and Chair of the Risks Committee.

Based on the information currently available to the Bank, Mr. Tofanelli does not directly and/or indirectly hold any shares of Banca Finnat Euramerica.

Mr. Tofanelli will, however, remain in the Group as Director of the InvestiRE SGR S.p.A. subsidiary.

The Bank's President, Giampietro Nattino, speaking on behalf of the entire Board, deeply thanked Mr. Tofanelli for his hard work and commitment and for his precious contribution to the Bank.
