RESOLUTION ON THE MERGER BY INCORPORATION OF CONSORZIO OPERATIVO

GRUPPO MONTEPASCHI INTO BANCA MONTE DEI PASCHI DI SIENA

Siena, 17 November 2022 - Pursuant to Article 70, paragraph 7, letter c) of CONSOB Regulation No. 11971 of 14 May 1999, as subsequently amended and supplemented, it is hereby announced that the minutes of the Board of Directors' resolution of Banca Monte dei Paschi di Siena S.p.A. ("BMPS") approving the merger by incorporation of Consorzio Operativo Gruppo Montepaschi S.C.p.A into BMPS, passed on 10 November 2022 pursuant to Articles 2365 and 2505, paragraph 2, of the Italian Civil Code and Article 17 of BMPS's Bylaws and filed with the Companies' Register of Arezzo-Siena on 15 November 2022, has been made available today to the public at the registered office of BMPS in Siena, Piazza Salimbeni no. 3, on the authorized storage system "eMarket STORAGE" on the website www.emarketstorage.com, and on the website of BMPS at www.gruppomps.it.
