BANCO INVEX, S.A. INSTITUCION DE BANCA MULTIPLE INVEX GRUPO FINANCIERO S.A. DE C.V. entered into an agreement to acquire Desarrollos Hidraulicos de Cancun, S. A. de C. V. from Grupo Mexicano de Desarrollo, S.A.B. (BMV:GMD *) and GBM Hidráulica, S. A. de C. V.

BANCO INVEX, S.A. INSTITUCION DE BANCA MULTIPLE INVEX GRUPO FINANCIERO S.A. DE C.V. entered into an agreement to acquire Desarrollos Hidraulicos de Cancun, S. A. de C. V. from Grupo Mexicano de Desarrollo, S.A.B. (BMV:GMD *) and GBM Hidráulica, S. A. de C. V. on July 19, 2017. BANCO INVEX will acquire from Grupo Mexicano de Desarrollo all of Series "A" Class I ordinary shares and Series "A" Class II ordinary shares and from GBM Hidráulica, S. A. de C. V. all of Series "B" Class II ordinary shares. The Board of Directors of Grupo Mexicano de Desarrollo, S.A.B approved the deal on July 19, 2017 and the shareholders of Grupo Mexicano de Desarrollo, S.A.B approved the deal on August 31, 2017.

The transaction has been approved by Federal Commission of Economic Competition. The board of directors and shareholders' meeting of GBM Hidráulica have approved the deal.
