  • Jock Lennox, Non-Executive Director to step down from Dixons Carphone plc

At the Annual General Meeting held on 15 November 2017, 26.47% of the votes were cast against the re-election of Jock Lennox. Based on feedback from its shareholders', the vote reflected their concerns with regards to potential 'overboarding' and Jock Lennox's ability to dedicate sufficient time to his role with the Company.

The 2017 re-election vote in respect of Barratt Developments PLC is the only such vote that Jock has received in relation to any of his Board appointments. Each of his other re-election votes were comfortably above the 80% threshold. However, given these concerns, after due consideration Jock agreed with the Board of Dixons Carphone plc that it would be appropriate for him to step down from that Board with effect from 31 December 2018. Jock will also step down as the Audit Committee Chair of Dixons Carphone plc from the conclusion of the Annual General Meeting on 6 September 2018.

This decision by Jock is further evidence to support the view of the Board of Barratt Developments PLC, and the feedback received from all of the Boards of which he is a member, that he has more than adequately fulfilled all of the responsibilities and commitments expected of him as a Director. Jock has, and is in, a position to continue to fulfil his responsibilities and commitments to the Company.
