(SZSE:002385) signed share transfer agreement to acquire additional 26.74% stake in Beijing Golden Nonghua Seed Science & Technology Co., Ltd. from consortium of sellers for approximately CNY 530 million on September 14, 2018. Post transfer, Beijing Dabeinong Technology Group Co.,Ltd. will hold 99.99% stake in Beijing Golden Nonghua Seed Science. During the financial year ended December 2017, Beijing Golden Nonghua Seed Science & Technology Co., Ltd. reported total assets of CNY 1.34 billion, net assets of CNY 789.14 million, revenue of CNY 604.39 million and net profit of CNY 47.13 million. The transaction is subject to shareholders approval. As on September 14, 2018, transaction has been approved by the Board of Beijing Dabeinong Technology Group Co.,Ltd. on the 40th session of the company’s 4th directorate. Beijing Dabeinong Technology Group Co.,Ltd. (SZSE:002385) cancelled the acquisition of additional 26.74% stake in Beijing Golden Nonghua Seed Science & Technology Co., Ltd. from consortium of sellers on November 5, 2019. The consortium of sellers includes 57 including Li Shaoming and Ji Weiguo. The transaction was approved by the shareholder of Beijing Dabeinong Technology Group on the 6th special shareholders’ meeting for 2018 held on October 8, 2018. The termination was approved by the board of directors of Beijing Dabeinong Technology Group on the 61st session of the company’s 4th directorate held on November 5, 2019.
