As the Board of Directors' Meeting No. 4/2020 of Berli Jucker Public Company Limited (the "Company"), convened on 1 9 June 2020, has resolved to approve BJC Specialties Company Limited the " Offeror" ), which is the Company's subsidiary, to make tender offer of all securities of White Group Public Company Limited ("WG") for delisting securities from being the listed securities on Stock Exchange of Thailand (the "SET"), at offering price of THB 185.44 per share or the price in accordance with the net asset value of the WG based on the latest financial statements of the WG prior to the end of the tender offer period, whichever is higher. Such offering price is not lower than the highest price calculated on criteria prescribed under the Notification of the Capital Market Supervisory Board No. TorJor. 12/2554 Re: Rules, Conditions, and Procedures for the Acquisition of Securities for Business Takeovers (including any amendment thereto) (the "Notification TorJor. 12/2554"), details of which are in accordance with the information memorandum of the Company which already notified the SET on 19 June 2020.

The Company would like to inform that the Offeror will adjust the offering price from the previous price of THB 185.44 per share to THB 187.67 per share in order to be in accordance with the net asset value of WG based on the latest financial statements of WG, which is the reviewed financial statements for six- months period ending 30 June 2020. In this regard, such offering price is not lower than the highest price calculated on criteria prescribed under the Notification TorJor. 12/2554.
