Bertrandt setting course for continuity at the Management Board and the Supervisory Board

The expiry of the term of office of the Supervisory Board Chair, Dr. Klaus Bleyer, is at the end of the Annual Shareholders' Meeting on 20. February 2019. The Supervisory Board intends to prepare a suitable succession. The Supervisory Board therefore intends - subject to sufficient support by shareholders according to section 100 (2) No. 4 German Stock Corporation Act - to propose to the shareholders meeting that Dietmar Bichler be elected as a member of the Supervisory Board. The Supervisory Board Chair, Dr. Klaus Bleyer, will recommend the election of Dietmar Bichler as his successor as the Supervisory Board Chair, following the end of the shareholders' meeting in 2019. Therefore, Dietmar Bichler will resign from his mandate as CEO of Bertrandt Aktiengesellschaft, effective at the end of the Annual Shareholders' Meeting on 20 February 2019. Dietmar Bichler stated  today in the Supervisory Board Meeting, that  his candidacy for Supervisory Board and the Supervisory Board Chair offers the opportunity to accompany Bertrandt Group's future development  on a long-term basis in a new role.
 
 
According to the German Corporate Governance Code the Supervisory Board Chair shall be between the Meetings of the Supervisory Board "in regular contact with the Management Board (.) in order to discuss with them issues of strategy, planning, business development, the risk situation, risk management and compliance of the company." Termination of his mandate as CEO of Bertrandt Aktiengesellschaft will ensure that Dietmar Bichler has sufficient time available to discharge these duties.
 

In its meeting today, the Supervisory Board of Bertrandt Aktiengesellschaft therefore has decided to consent to the resignation by Dietmar Bichler and to appoint the other Members of the Board of Management, Michael Lücke, Markus Ruf and Hans-Gerd Claus for a new term of five years to ensure a long-term succession.

 

 

In this way, the Supervisory Board not only is emphasizing continuity, but has also simultaneously decided to mirror the importance of overarching work for Bertrandt Group's development consequently on the management board level by forward-looking networked management. After the resignation of Mr Bichler from the Board of Management effective at the end of the Annual Shareholders' Meeting on 20 February 2019 the Board of Management will work without highlighting a single Person as CEO or Board Spokesman.

 

The Supervisory Board will decide upon his nominations to the shareholders meeting 2019 within the agenda of his regular board meeting on 10. December 2018.
