Appointment of Certain officers; Compensatory Arrangements of Certain Officers.
On August 15, 2022, Melisse Gelula advised the Company's board of directors that
she will resign as a board member of the Company and that her resignation is
effective immediately. Melisse Gelula was not compensated by the Company for her
services as a director since June 20, 2022. Melisse Gelula is to remain a member
of the Company's Strategic Advisory Committee as previously announced and filed
on February 10, 2022.
The resignation of Melisse Gelula as a director was not the result of any
disagreement with the Company on any matter relating to its operations,
policies, or practices.
Item 8.01 Other Events.
On August 16, 2022, the Company launched a new corporate website at its URL:
www.bfyw.com. The Company's investor information, including press releases and
links to the Company's filings with the Securities and Exchange Commission (the
"SEC"), will now be found on this website. The Company's SEC filings and the
Company's corporate governance documents, including the Code of Business Conduct
and Ethics and Compliance Program, are available on this website. Any amendments
to or waivers of the Company's Code of Business Conduct and Ethics and
Compliance Program will be disclosed on this website.
