Item 8.01. Other Events.
As previously disclosed on a Current Report on Form 8-K dated July 20, 2021,
Bilander Acquisition Corp. (the "Company") consummated its initial public
offering (the "IPO") of 15,000,000 units (the "Units"). Each Unit consists of
one share of Class A common stock of the Company, par value $0.0001 per share
(the "Class A Common Stock"), and one-fourth of one redeemable warrant of the
Company ("Warrant"), with each whole Warrant entitling the holder thereof to
purchase one share of Class A Common Stock for $11.50 per share. The Units were
sold at a price of $10.00 per Unit, generating gross proceeds to the Company of
$150,000,000.
Simultaneously with the closing of the IPO, pursuant to the Private Placement
Warrants Purchase Agreement, the Company completed the private sale of an
aggregate of 3,500,000 Warrants (the "Private Placement Warrants") to Bilander
Holdings, LLC (the "Sponsor") at a purchase price of $1.50 per Private Placement
Warrant, generating gross proceeds to the Company of $5,250,000. The Private
Placement Warrants are identical to the Warrants sold as part of the Units in
the IPO, except as otherwise disclosed in the Registration Statement. No
underwriting discounts or commissions were paid with respect to such sale. The
issuance of the Private Placement Warrants was made pursuant to the exemption
from registration contained in Section 4(a)(2) of the Securities Act of 1933, as
amended.
In connection with the IPO, the underwriters were granted a 45-day option from
the date of the prospectus (the "Over-Allotment Option") to purchase up to
2,250,000 additional units to cover over-allotments (the "Option Units"), if
any. On August 9, 2021, the underwriters purchased an additional 1,851,598
Option Units pursuant to the partial exercise of the Over-Allotment Option. The
Option Units were sold at an offering price of $10.00 per Unit, generating
additional gross proceeds to the Company of $18,515,980.00.
Also in connection with the exercise of the Over-Allotment Option, the Sponsor
purchased an additional 246,880 Private Placement Warrants at a purchase price
of $1.50 per Private Placement Warrant.
