Item 2.02 Results of Operations and Financial Condition

On March 16, 2023, Blend Labs, Inc. (the "Company" or "Blend") issued a press release announcing its financial results for the fourth fiscal quarter and the full fiscal year ended December 31, 2022. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

As previously disclosed, on January 9, 2023, Timothy Mayopoulos notified the Company of his intention to step down as President of the Company in the first quarter of 2023. On March 13, 2023, Mr. Mayopoulos resigned as President of the Company, effective immediately, to pursue other professional opportunities. Mr. Mayopoulos will continue serving as a director of the Company. In connection with his departure, Mr. Mayopoulos has agreed to the cancellation of his unvested equity awards and, going forward, he will receive compensation as a non-employee director in accordance with the Company's Outside Director Compensation Policy.
