Nature and description of the legal proceedings

Further to its disclosures to the Philippine Stock Exchange dated 4 October 2021 and 31 March 2021, Bloomberry Resorts Corporation hereby discloses that its wholly owned subsidiaries, Sureste Properties Inc. (SPI) and Bloomberry Resorts and Hotels Inc. (BRHI), were informed by their counsel in New York today, March 22, 2022, that the New York Court has issued its order on their motion to dismiss the complaint of GGAM. The Court did not grant the motion to dismiss as against SPI, BRHI and Mr. Enrique K. Razon Jr. But the Court granted the dismissal of the case as against all the other defendants which are real estate companies and oil and gas companies in the U.S. associated with Mr. Razon. This means that the parties GGAM (as plaintiff) and SPI, BRHI and Mr. Razon (as defendants) will have to present their evidence to prove their respective claims or defenses in this case for enforcement of an Arbitral Award in the New York Court.
