Boa Vista Serviços S.A. (BOVESPA:BOAS3) entered into an agreement to acquire Konduto Internet Data Technology S/A from Criatec II Fundo de Investimento em Participações of Crescera Investimentos and others for approximately BRL 170 million on March 11, 2021. The other sellers include Maurício Alouan, André Augusto Nogueira Alvez, Adriano Rogério Santana de Oliveira, Raphael Anauate Ferraz de Sampoio, Daniel Tadeu Bento, Tom Markun Canabarro and Milton Tavares Neto. Consideration for 72.2% stake, representing 650,641 common shares in Konduto will be paid in cash in the amount of BRL 122.5 million, subject to adjustments based on the working capital and net debt variations until the closing of the transaction. The remaining 250,667 shares, representing 27.8% in Konduto will be acquired through an exchange of shares with current Konduto shareholders receiving 2,884,513 Boa Vista common shares and two at an issuance price of R10,113,302.00 each warrants which will entitle such shareholder the right to subscribe up to 1,955,620 shares of Boa Vista, which may be exercised upon the compliance with certain conditions (Merger of Shares). Tom and Milton will receive 977,810 new Boa Vista common shares each and Daniel will receive 928,893 shares while Tom and Milton will receive one subscription warrant each. Konduto reported revenues of BRL 15 million in 2020. Konduto’s founders will remain in their positions and will lead Boa Vista’s anti-fraud Business Unit as they complete Konduto’s integration. The completion of the transaction is subject to the completion of certain usual conditions for this type of transaction, as set forth in the agreement, including holding a shareholders meeting of Boa Vista to approve the acquisition and the merger of shares, as well as obtaining the approval by the Administrative Council for Economic Defense (CADE), obtaining consents and/or commitment letters from certain customers of Konduto, holding of a General Meeting of Konduto resolving on the Merger of Shares; completion, to Boa Vista’s satisfaction, of the due diligence of the financial, legal, tax, technical, accounting and labor aspects of Konduto; approval of the accounts the fiscal years of Konduto ended in 2014, 2015, 2016, 2018, 2019 and 2020;. In the event the Transaction is approved, any dissenting shareholder will be entitled to exercise its withdraw rights in connection with the shares held uninterruptedly from March 11, 2021 until the end of the 30-day term as of the date in which the minutes of the shareholders meeting approving the Transaction are published. The dissenting shareholders shall receive from Boa Vista, if they decide to exercise their withdrawal rights, the amount of BRL 0.673858376 per issuance share of Boa Vista. The Board of Directors of Boa Vista have approved the deal. The shareholders of Boa Vista Serviços S.A. approved the transaction on July 13, 2021. The transaction is expected to close during the second quarter of 2021. RGS Partners acted as financial advisor and Mattos Filho as the legal advisor to Boa Vista.
