RE-DOMICILIATION: RESULTS OF SCHEME MEETING

Boart Longyear Limited (ASX: BLY) (the Company or Boart Longyear) advises that the meeting of shareholders was held today (Scheme Meeting) to consider the resolution set out in the Notice of Scheme Meeting attached to the Scheme Booklet dated 26 October 2018 to re-domicile Boart Longyear to British Columbia, Canada by way of a scheme of arrangement (Scheme).

Although approximately 98% of the votes cast by Boart Longyear shareholders present at the Scheme Meeting (in person or by proxy) were in favour of the resolution, less than 50% of Boart Longyear shareholders by number present at the Scheme Meeting (in person or by proxy) voted in favour of the resolution. As a result, the proposed scheme resolution has not been passed by the requisite majorities of Boart Longyear shareholders.

The second Court hearing to consider approval of the Scheme is scheduled for Wednesday, 19 December 2018.

Details of the valid proxies received and votes cast, as required by section 251AA of the Corporations Act 2001 (Cth), are set out in the attached voting summary.
