Item 8.01. Other Events.



On September 10, 2021, Booz Allen Hamilton Inc. (the "Company"), which is a
wholly owned subsidiary of Booz Allen Hamilton Holding Corporation, closed its
acquisition, pursuant to a definitive agreement entered into as of September 3,
2021, of Tracepoint Holdings, LLC, which is the parent company of Tracepoint,
LLC, an industry-leading digital forensics and incident response company. As a
result of the acquisition, Tracepoint Holdings, LLC and Tracepoint, LLC are now
wholly-owned subsidiaries of the Company.

A copy of the press release regarding this announcement was issued and is
attached hereto as Exhibit 99.1.
