BP p.l.c. (LSE:BP.) agreed to acquire 33.3% stake in Digital Charging Solutions GmbH from Bayerische Motoren Werke Aktiengesellschaft (XTRA:BMW) and Daimler Mobility AG on March 30, 2021. The terms of the transaction are not being disclosed. Under their agreement, BP will become a 33.3% partner alongside BMW Group and Daimler Mobility AG in Digital Charging Solutions. As part of the agreement, BP's European charging networks will be integrated into the Digital Charging Solutions's software system as well as Fuel & Charge for fleet customers, as a first step. The transaction is subject to regulatory approval and antitrust regulations. As of September 27, 2021 European Commission has approved the deal. Christoph Nawroth, Sebastian Schürer, Steffen Hoerner, Marius Boewe, Marcel Nuys, Ina vom Feld, Sven Wortberg, Kai Liebrich, Moritz Kunz, Florian Huerkamp, Maximilian Reinhardt and Tanja Keuser of Herbert Smith Freehills acted as legal advisor to BP. Nikolas Zirngibl of Hogan Lovells International LLP acted as legal advisor to Digital Charging Solutions GmbH.
