Item 5.03        AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR



On September 14, 2020, the Company's Board of Directors approved an amendment to
the By-Laws of the Company effective September 14, 2020. Article II
(Shareholders) of the existing By-Laws was amended to permit the Company to hold
virtual meetings of shareholders. The foregoing description of the By-Laws, as
amended, is qualified in its entirety by reference to the full text of the
By-Laws, a copy of which is filed herewith as Exhibit 3.1 and is incorporated
herein by reference.


Item 7.01   REGULATION FD DISCLOSURE



On September 16, 2020, the Company hosted a conference call related to its
fiscal 2020 fourth quarter financial results. A copy of the slides referenced in
the conference call, which is also posted on the Company's website, is being

hereto and is incorporated herein by reference.


Item 8.01   OTHER EVENTS



Increase in Annual Dividend
On September 14, 2020, the Company's Board of Directors approved an increase in
the annual cash dividend on its Class A Common Stock from $0.87 to $0.88 per
share. A quarterly dividend in the amount of $0.22 per share will be paid on
October 30, 2020, to shareholders of record as of the close of business on
October 9, 2020. A copy of the press release regarding the dividend is attached
hereto as Exhibit 99.2 and is incorporated herein by reference.
