Brady Corporation (NYSE:BRC) acquired The Code Corporation for approximately $180 million on June 16, 2021. The purchase price is inclusive of The Code Corporation's working capital in the amount of $4.52 million and is subject to a working capital adjustment and escrow provisions. The transaction will be funded with cash on hand as well as with borrowings on its existing revolving line of credit. Brady anticipates EBITDA from Code of approximately $10 million for the first full fiscal year ending July 31, 2022, inclusive of integration-related costs. Initial financing for acquisition consisted of $75 million from Brady Corporation’s revolving loan agreement and the balance from cash on hand.
