BW Ideol AS signed a share purchase agreement to acquire remaining 50% stake in Ideol SA from its founders and employees for €60 million on February 16, 2021. Post-completion, Ideol S.A. becoming a wholly owned subsidiary of the BW Ideol. Ideol's founders and employees will remain being the shareholders and transfer their holdings to BW Ideol. They will also continue to lead the company, backed by BW Offshore Limited (OB : BWO) as a long-term industrial partner. The transaction is expected to complete in the first quarter of 2021. Laurent Schoenstein, Cécile Zoro, Omar El Arjoun, Emily Xueref-Poviac, Gauthier Martin of Clifford Chance and Géraud de Franclieu and Clémence Corpet of Sekri Valentin Zerouk, Gilles Roux and Martin Kyuchukov-Roglev of Villechenon acted as legal advisors to sellers. Arnaud Félix, Guillaume Pouyet, Adrien Launay, Mohamed Douib, Romain Girtanner, Arnaud Troizier, Philippe Wolanski, Julie-Anne Thiebaut, Pauline Mordacq Emilie de Vaucresson, Violaine Besson and Arnaud Bénézeth of Watson Farley & Williams acted as legal advisor to BW Offshore Limited. Violaine Besson Nomura Greentech acted as financial advisor and Sekri Valentin Zerrouk and Wikborg Rein & Co. acted as the legal advisor for Ideol SA.

BW Ideol AS completed the acquisition of remaining 50% stake in Ideol SA from its its founders and employees on March 15, 2021. The agreed funds have been transferred to the selling shareholders of Ideol S.A, who have sold their shares for cash and BW Ideol AS will issue a total of 5,815,240 shares to the sellers who have elected to contribute their shares in Ideol S.A. for shares in BW Ideol AS. Laurent Schoenstein, Katerina Drakoularakou, Cécile Zoro, Omar El Arjoun, Emily Xueref-Poviac, Gauthier Martin, Clément Fricaudet, Elise Mayer and Alexandre Manasterski of Clifford Chance LLP, Financial Advisory Arm acted as financial advisor to Ideol's shareholders in the deal. Thommessen Krefting Greve Lund AS acted as legal advisor to BW Offshore in the deal. The transaction was financed from net cash flow for €52.2 million.
