As of June 8, 2021, Camber Energy, Inc. had outstanding approximately 58,455,304 shares of common stock. Since April 27, 2021, approximately 16,044,525 shares were issued to an institutional investor in connection with conversions of Series C Convertible Preferred Stock held by such investor pursuant to the exemption from registration provided by Section 3(a)(9) of the Securities Act of 1933, as amended, and Rule 144 promulgated thereunder.
