ANNOUNCEMENT

RECEIPT OF APPROVAL IN-PRINCIPLE FOR LISTING AND QUOTATION OF

152,594,100 NEW STAPLED SECURITIES

Further to its announcements dated 9 September 2021 and 10 September 2021 in relation to the placement of new stapled securities ("New Stapled Securities") in Ascott Residence Trust ("ART") at an issue price of S$0.983 per New Stapled Security (the "Private Placement"), Ascott Residence Trust Management Limited (as manager of Ascott Real Estate Investment Trust) and Ascott Business Trust Management Pte. Ltd. (as trustee-manager of Ascott Business Trust), collectively as managers of ART (the "Managers"), wish to announce that approval in-principle has been obtained today from Singapore Exchange Securities Trading Limited (the "SGX-ST") for the listing of, and dealing in and quotation on the Main Board of the SGX-ST of 152,594,100 New Stapled Securities which are proposed to be issued pursuant to the Private Placement.

The SGX-ST's approval in-principle is not to be taken as an indication of the merits of the Private Placement, the New Stapled Securities, ART and/or its subsidiaries.

In respect of the Private Placement, the SGX-ST's approval in-principle is subject to:

  1. compliance with the SGX-ST's listing requirements;
  2. submission of:
    1. a written undertaking from the Managers that they will comply with Rule 803 of the Listing Manual of the SGX-ST (the "Listing Manual");
    2. a written undertaking from the Managers that they will comply with Rule 704(30) and Rule 1207(20) of the Listing Manual in relation to the use of proceeds from the Private Placement and where proceeds are to be used for working capital purposes, the Managers will disclose a breakdown with specific details on the use of proceeds for working capital in ART's announcements on use of proceeds and in its annual report;
    3. a written undertaking from J.P. Morgan (S.E.A) Limited and Oversea-Chinese Banking Corporation Limited, as the joint lead managers and underwriters for the Private
      Placement (the "Joint Lead Managers and Underwriters") that they will comply with Rule 803 of the Listing Manual;
    4. a written confirmation from the Managers that they will not issue the New Stapled Securities to persons prohibited under Rule 812(1) of the Listing Manual; and
    5. a written confirmation from the Joint Lead Managers and Underwriters that the New Stapled Securities will not be placed out to persons prohibited under Rule 812(1) of the Listing Manual.
