Casella Waste Systems, Inc. (NasdaqGS:CWST) entered into asset purchase agreement to acquire solid waste assets in Albany, NY and Cheshire, MA of Republic Services, Inc. (NYSE:RSG) on June 13, 2019. The solid waste assets to be acquired generate approximately $30 million of annualized revenues. The transaction is subject to customary conditions precedent to closing and is expected to close by the end of the third quarter of 2019.
Casella Waste Systems, Inc. (NasdaqGS:CWST) completed the acquisition of solid waste assets in Albany, NY and Cheshire, MA of Republic Services, Inc. (NYSE:RSG) for approximately $46.6 million on September 3, 2019. Consideration included $41.8 million in cash consideration and $4.8 million in non-cash consideration. Purchase price was paid for such assets with a combination of available cash on hand and borrowings under the existing revolving credit facility with Bank of America, N.A., as administrative agent, and the other lenders party thereto.
Republic Services, Inc. is No. 2 in America for non-toxic solid waste collection, processing, recycling, and disposal. Net sales (including intrragroup) break down by activity as follows:
- solid waste collection services (75%): services provided primarily to commercial (40.8% of sales), residential (30.3%), industrial customers(28.2%) and other (0.7%). At the end of 2020, the group had 345 collection companies;
- waste transfer and disposal services (18.5%): owns 220 transfer stations and 186 landfills;
- waste recycling services (2.9%). The group is also involved in recycled product sales;
- other (3.6%).
