Regulation FD Disclosure.
On August 11, 2022, the Board of Directors of CBIZ, Inc. appointed Rick L. Burdick as its independent Chairman of the Board. This appointment follows the death of Steven L. Gerard, the Company's previous Chairman, on April 12, 2022. Mr. Burdick was first elected as an independent director in October 1997, and he was appointed by the Board to be its Lead Director in May 2007. Mr. Burdick's position as Chairman supersedes his status as Lead Director. His compensation as Chairman will consist of a Non-ExecutiveChairman of the Board fee of $100,000 as well as other typical non-employeedirector compensation as disclosed in the Company's 2022 Proxy Statement.
